Agreement to Our Legal Terms

Welcome to Preteeth AI, Inc. (“Company,” “we,” “us,” “our”). These Terms of Use (“Terms”) constitute a legally binding agreement between you and Preteeth AI, Inc., governing your access to and use of the following services:

• Preteeth AI Pro, an AI-powered smile design application that allows users to simulate aesthetic dental outcomes based on uploaded images.
• Dentscape, an AI-powered web-based CAD software that provides tools for dental professionals to automate dental prosthetic design and customization.

These applications, along with related products, services, and websites (collectively, the “Services”), are subject to the terms outlined below. By accessing the Services, you confirm that you have read, understood, and agree to these Terms.

If you do not agree, you must not use the Services.

1. Definitions

• Preteeth AI Pro: An AI-powered application for simulating dental aesthetics using facial or dental images.
• Dentscape: A web-based CAD software enabling dental professionals to design dental restorations with AI-driven workflows.
• Services: All products, applications, websites, and related services provided by Preteeth AI, Inc.
• Content: All software, designs, trademarks, and materials provided through the Services.
• Users: Individuals or entities accessing or using the Services.

2. Our Services

The Services provide advanced tools for dental professionals, including:

• Preteeth AI Pro: Simulating smile aesthetics for informational purposes only.
• Dentscape: Automating dental restoration design for professional use.

Simulated images and restoration designs are for reference purposes only. They are not medical advice or diagnostics, and final decisions must be made by licensed dental professionals.

We process personal data in accordance with our Privacy Policy and applicable data protection laws. Depending on your location and use of the Services, additional data processing terms may apply.

3. Intellectual Property Rights

Ownership of Content

All Content provided through the Services is owned by or licensed to Preteeth AI, Inc. and is protected by applicable intellectual property laws.

License to Use the Services

We grant you a non-exclusive, revocable, limited license to use the Services for lawful purposes in accordance with these Terms. Unauthorized use, including copying, modifying, or reverse engineering the software, is prohibited.

All rights to third-party templates, libraries or digital assets you upload remain subject to the licence conditions you hold, and you bear full responsibility for compliance with those licence conditions.

4. User Representations

By using the Services, you represent and warrant that:

• You are at least 18 years old.
• You will provide accurate and up-to-date registration information.
• You will not use the Services for unauthorized or illegal purposes.
• You understand that AI-generated designs are for reference purposes and require professional interpretation.

5. User Registration

To access certain features, you must create an account. You are responsible for safeguarding your account credentials. You agree to provide accurate and current information during registration. We reserve the right to suspend or terminate accounts violating these Terms.

6. Prohibited Activities

You agree not to:

• Reverse engineer, copy, or distribute any part of the Services.
• Use the Services for unauthorized or illegal purposes.
• Submit false, misleading, or malicious content.
• Interfere with or disrupt the security or functionality of the Services.
• Use automated tools (e.g., bots, scrapers) to access the Services.

Violating these terms may result in suspension or termination of your access.

7. Purchases, Payments, and Subscriptions

Preteeth AI Pro

• Subscriptions are billed monthly or annually and are non-refundable, except where required by applicable law.
• Subscriptions automatically renew unless canceled before the renewal date. Cancellation takes effect at the end of the current billing cycle.

Dentscape

• Operates on a credit-based system. Purchased credits are non-refundable but remain valid as specified.
• Users receive complimentary credits upon registration. Additional credits must be purchased as needed.

Important Notice: All purchases and subscriptions are subject to these Terms of Use and any additional terms presented at the point of sale. By making a purchase, you agree to these terms.

8. Contributions and User Data

By submitting data or feedback to the Services, you grant Preteeth AI, Inc. a license to process and use this information to improve the Services. Users retain ownership of their data but grant us a license for operational purposes.

User-Uploaded Templates and Libraries

a) You represent and warrant that any file, template, library or other digital design (“User-Uploaded Content”) you upload to our Services is either (i) entirely owned by you, or (ii) you have obtained all necessary rights, licenses and authorisations (including for adaptation, modification, combination with our proprietary templates, generation of derivative works, commercial use, and upload to our Services) from the relevant rights-holder(s).

b) If the User-Uploaded Content includes a third-party library or template (for example from 3Shape or any such provider) then you further represent and warrant that the licence you hold permits use on our Services, including merging, generative processing by our AI algorithms, distribution to output formats, manufacturing, commercial deployment, and any other usage enabled by our Services.

c) You agree that you alone are responsible for determining whether the rights you hold are sufficient under applicable law (including copyright, database rights, design rights, contractual licence terms) and for maintaining all documentation evidencing your rights.

d) You agree to indemnify, defend and hold harmless Preteeth AI, Inc. (and its affiliates, directors, officers, employees and agents) from and against any and all losses, liabilities, claims, damages, costs or expenses (including reasonable attorneys’ fees) arising out of or in connection with any claim that your User-Uploaded Content infringes or misuses any intellectual property rights of a third party, or that your licence was insufficient for use via our Services.

e) We reserve the right, without prior notice, to remove or disable access to any User-Uploaded Content for which we reasonably believe you have not provided sufficient rights, or which otherwise violates these Terms. You acknowledge and agree that we do not routinely review all uploads and that you bear responsibility for ensuring your uploads comply with applicable rights.

f) Nothing in these Terms shall be interpreted to grant you any licence to our proprietary templates, data, algorithms or libraries beyond the limited use of our Services as authorised herein; nor shall anything imply that we warrant or certify that any User-Uploaded Content is free of third-party claims.

g) AI Training and Service Improvement License

In addition to the licenses granted above, by submitting, uploading, transmitting, or otherwise providing any data, content, files, images, scans, models, prompts, inputs, outputs, feedback, annotations, or usage-related information through the Services (“Submitted Data”), you grant Preteeth AI, Inc. a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, process, adapt, modify, analyze, and use such Submitted Data for the following purposes:

• (i) providing, operating, maintaining, and supporting the Services;
• (ii) improving product performance, quality, safety, and user experience;
• (iii) developing, training, validating, tuning, and improving our algorithms, AI/ML models, and related features; and
• (iv) creating aggregated and de-identified datasets, analytics, and insights for service improvement, research, and internal business purposes.

You retain ownership of your Submitted Data, subject to the rights you grant under these Terms. We will handle personal data and patient-related data in accordance with our Privacy Policy and applicable law.

You represent and warrant that, before submitting any Submitted Data (including any patient-related information, facial images, intraoral scans, or other regulated data), you have obtained all rights, permissions, consents, and authorizations required under applicable law and professional obligations for us to process such data for the purposes described in these Terms and our Privacy Policy, including AI/ML model improvement where permitted.

Where required by applicable law, or where otherwise specified in a separate written agreement with you (including an enterprise agreement, data processing addendum, or business associate agreement), we will limit or exclude certain data from AI/ML training and model improvement activities.

9. Software License

We grant you a non-exclusive, revocable license to use the software associated with the Services. You may not decompile, modify, or reverse-engineer any part of the software without prior written consent.

10. Services Management

We reserve the right to modify, suspend, or discontinue any part of the Services without notice. While we strive for uninterrupted access, availability cannot be guaranteed at all times.

11. Disclaimers and Limitations of Liability

The Services are provided “as-is” and “as-available.” Preteeth AI, Inc. disclaims liability for indirect or consequential damages arising from your use of the Services.

Our liability is limited to the lesser of the amount you paid for the Services in the 12 months preceding the claim or $100.

We do not warrant that any User-Uploaded Content does not infringe third-party rights. To the maximum extent permitted under applicable law, we disclaim any liability for claims arising from the uploading, merging, generation or distribution of User-Uploaded Content.

12. Indemnification

You agree to indemnify and hold Preteeth AI, Inc. harmless from any claims, damages, or liabilities arising from:

• Your use of the Services.
• Breaches of these Terms.
• Violations of intellectual property rights or applicable laws.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of California, United States, without regard to conflict-of-law principles. Disputes will be resolved exclusively in the courts of San Francisco, California.

14. Miscellaneous

• These Terms constitute the entire agreement between you and Preteeth AI, Inc.
• If any provision is found to be unenforceable, the remaining provisions remain in effect.
• Our failure to enforce any part of these Terms does not constitute a waiver of our rights.
